Terms of Service

1. Acceptance of Terms

By accessing or using Socratic ONE (the "Service"), operated by [LEGAL ENTITY NAME] ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Socratic ONE facilitates collaborative research discussions among multiple AI models. Users connect to AI providers through secure OAuth authentication (OpenRouter) or platform-provided access. Your OpenRouter API key is never persisted to our database or written to our logs; it is relayed transiently in an in-memory request header only for the duration of a discussion request, to call the model on your behalf. 3. User Accounts

3.1 Registration

• You must provide accurate information during registration
• You are responsible for maintaining account security
• One account per person; no shared accounts

3.2 AI Provider Access

• You connect your OpenRouter account via OAuth PKCE; your API key is stored in your browser and relayed transiently in a request header when needed to call a model on your behalf — it is never persisted to our database or written to our logs
• You must comply with each AI provider's terms of service
• Any API usage costs from your OpenRouter account are your responsibility
• Platform-provided models are included at no additional cost within tier limits

4. Subscription Terms

4.1 Plans and Pricing

The Service is offered on the following recurring plans:

• Free — $0/month: Limited access, including a capped number of AI rounds per month and a limited number of AI participants and rounds per discussion.
• Basic — $5/month: Expanded monthly AI rounds, more AI participants and rounds per discussion, full discussion history, custom AI participants, and downloadable reports.
• Pro — $20/month: Unlimited AI rounds, participants, and rounds per discussion, plus advanced features such as Oracle Mode and Moderator Brain.

Current plan features and limits are described on our pricing page, which controls in the event of any discrepancy.

4.2 Billing

• The Free plan has no charge
• Basic is billed monthly at $5/month
• Pro is billed monthly at $20/month
• Paid plans continue until canceled
• Cancel anytime; access continues until period end
• No refunds for partial months

4.3 Auto-Renewal and Cancellation

Basic and Pro plans automatically renew each billing cycle at the then-current rate unless canceled before the renewal date. You will receive a reminder email at least 7 days before each renewal. You may cancel at any time through your account settings; access continues through the end of the current billing period. No partial refunds are issued for the remaining period after cancellation.

5. Acceptable Use

You agree NOT to:

• Use the Service for illegal activities
• Generate harmful, abusive, or discriminatory content
• Attempt to circumvent usage limits or security measures
• Share accounts or resell access
• Use automated scripts to abuse the Service
• Automatically scrape, harvest, or bulk-extract Service outputs, including AI-generated debate transcripts
• Create multiple accounts to evade free-usage limits
• Violate AI provider terms of service

5.1 Service Outputs

The debate transcripts, AI responses, and other outputs the Service generates are provided for your own research and personal or internal business use. You may not redistribute, resell, or publish them at scale, and you may not use them — in whole or in part — to train, fine-tune, evaluate, or build a competing AI model or service. Automated collection of Service outputs (scraping, crawling, or programmatic extraction beyond normal use of the product) is prohibited.

6. Intellectual Property

6.1 Our Content

The Service, including its design, code, and branding, is our intellectual property.

6.2 Your Content

You retain rights to your research topics and any original content you create. AI-generated responses are subject to each AI provider's terms.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. See our Disclaimers for full details.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

IN ANY EVENT, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

AI-generated content on SOCRATIC.ONE is produced by third-party models accessed through OpenRouter and platform-managed providers. We do not control, endorse, or guarantee the accuracy of AI outputs. You acknowledge that AI responses may contain errors, biases, or hallucinations and should not be relied upon as professional advice.

9. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

10. Termination

• You may close your account anytime
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your data will be deleted per our Privacy Policy. Account deletion requests are processed within 30 days. You may export your data before deletion via Settings > Export Data.

11. Modifications

We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email.

11.5 Data and AI Training

We do not use your conversations, research topics, or any user-generated content to train AI models. Your data is used solely to provide the Service. Third-party AI providers have their own data policies; we encourage you to review their terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
